These Terms govern your access to and use of omnierax.com and any Omnierax services available through the website ("Website Services"). They do not govern commercial platform products (Sentinel, Cortex AI, Maximus, Vertical Solutions, Aegis, Orbital), which are governed by a separate Enterprise License Agreement.

By accessing the Website Services, you agree to these Terms and the Privacy Policy. If you access on behalf of an organization, you represent you have authority to bind that organization.

1Definitions

"Omnierax" — Omnierax Technologies Private Limited, B-52, Sector 63, Noida, Uttar Pradesh 201301, India.

"Website Services" — omnierax.com, all subdomains, the Insights Hub, public Trust Portal, public Documentation Hub, and other services made available without a separate commercial agreement.

"User" — any individual who accesses the Website Services. "Registered User" — a User with an account for gated content. "Content" — all materials published by Omnierax. "User Submissions" — any content submitted via forms or input mechanisms.

2Website Access and Use

2.1Permitted Use

Access for lawful purposes related to evaluating, learning about, or engaging with Omnierax — consistent with these Terms and applicable laws.

2.2Registration

Provide accurate, complete, current information; maintain credential confidentiality; notify us of unauthorized use; take responsibility for activities under your account.

2.3Prohibited Uses

No unauthorized system access; no bulk scraping or crawling; no automated form submission to circumvent access controls; no malware; no unauthorized security testing (use the Vulnerability Disclosure Policy); no identity misrepresentation; no competitive-intelligence abuse; no violation of applicable law.

2.4Access Termination

Omnierax may suspend or terminate access for violations or harmful conduct.

3Intellectual Property

3.1Omnierax Ownership

All Content is the exclusive property of Omnierax or its licensors, protected by intellectual property law.

3.2Limited License

Limited, non-exclusive, non-transferable, revocable license for personal and internal business evaluation — no reproduction for distribution, modification, commercial exploitation, or notice removal.

3.3Trademarks

Omnierax name, wordmark, logo, product names (Sentinel, Cortex AI, Maximus, Vertical Solutions, Aegis, Orbital), and taglines are trademarks. Use requires prior written authorization; guidelines at press@omnierax.com.

3.4Feedback

You grant Omnierax a perpetual, irrevocable, worldwide, royalty-free license to use Feedback without obligation or attribution.

3.5User Submissions

You represent you have the right to submit content. You grant Omnierax the right to use submissions for the purposes for which they were submitted and related operational purposes.

4Content Accuracy and Disclaimers

4.1No Warranty

Omnierax makes no warranty content is complete, accurate, or up-to-date. The authoritative source for current platform specifications is the Trust Portal and commercial documentation.

4.2No Professional Advice

Content is informational only — not legal, regulatory, security, financial, or professional advice.

4.3Third-Party Content

Omnierax does not endorse or warrant linked or referenced third-party content; access at your own risk.

5Limitation of Liability

5.1Disclaimer of Warranties

THE WEBSITE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

5.2Limitation on Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNIERAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

5.3Aggregate Liability Cap

OMNIERAX'S TOTAL LIABILITY FOR CLAIMS RELATED TO THE WEBSITE SERVICES SHALL NOT EXCEED USD 100.

5.4Essential Basis

These limitations reflect the allocation of risk and are an essential basis of the bargain.

6Indemnification

You agree to indemnify, defend, and hold harmless Omnierax and its officers, directors, employees, contractors, and agents from claims arising from your use of the Website Services in violation of these Terms, your User Submissions, your violation of law, or your infringement of third-party rights.

7Governing Law and Dispute Resolution

Laws of India, without regard to conflict of law principles.

7.2Jurisdiction

Exclusive jurisdiction of the courts of Gautam Buddha Nagar, Uttar Pradesh, India.

7.3Informal Resolution

Contact legal@omnierax.com to attempt good-faith informal resolution before formal proceedings.

7.4Waiver of Class Actions

To the extent permitted by law, you waive class action and class-wide arbitration rights.

8General Provisions

8.1Entire Agreement

These Terms with the Privacy Policy, Cookie Policy, and referenced policies constitute the entire agreement.

8.2Severability

Invalid provisions are modified minimally to be enforceable; remaining provisions remain in force.

8.3No Waiver

Non-enforcement does not waive any provision.

8.4Assignment

You may not assign without consent. Omnierax may assign without restriction.

8.5Changes to Terms

Material changes are communicated by updating the "Last Updated" date and notifying registered users. Continued use after the effective date constitutes acceptance.
